Terms of use
What this site is for.
I’m Acelli. This is my practice’s website, and reading it means you agree to what’s on this page. The first part is in plain words. The second part is the legal terms of my practice, as written.
Reading this site isn’t therapy
The pages and the posts are information. They’re here to help you decide whether to work with me. Reading them isn’t counseling, and it doesn’t make you my client or make me your therapist. That starts when we’ve talked and agreed to work together. Writing to me, calling, or sending a request commits you to nothing with me.
If tonight is bad
Call or text 988. That’s the Suicide and Crisis Lifeline: a trained counselor answers, it’s free, it’s open all day and all night, and if you text, any message starts it. If you’re in danger right now, or it’s a medical emergency, call 911 instead. I’m not an emergency line, and I’d rather you had those two numbers than waited on me. In the morning, write to me if you want to.
Who it’s for
This site is for adults. If you’re under 18, please don’t use it.
Request a time
The button at the top of every page opens my scheduling page in a new tab. Pick a time that works for you. A company called Sessions Health runs that page for me, and its own terms apply while you’re on it. What you send is a request, not a booking. I see it on my end and confirm it with you, and nothing is set until I do.
Other sites I link to
Apart from my scheduling page and the short form’s own page, a few links go to sites that aren’t mine. The review link in the footer goes to Google. The license link on my About page and the two links on my Supervision page go to the Texas council’s site. The Facebook and Instagram links in the menu, the footer and my Contact page go to my pages there. What happens on those sites is theirs, not mine. The phone and email links open your own apps.
The words and the photos
The writing, the photographs, and the Solid Ground name and mark here belong to my practice or are used with permission. Read them, and pass a page on to someone who needs it. What I don’t allow is copying the writing or the photos as your own.
What this site doesn’t do
There are no accounts, no comments and no payments on this site. The one form, the short form on my contact page, is Paubox’s, and it goes to my inbox. What this site does and doesn’t keep is on my Privacy practices page.
Changes
Pages change when something changes. These terms can change too, and the date at the foot of this page is the day they last did.
The legal terms of my practice
The paragraphs below are the legal terms of my practice, carried here as written, in the language legal terms are written in. Where they say “we”, “us” or “our”, they mean my practice, Solid Ground Counseling & Wellness, PLLC. Where they say “the Site”, they mean this website and anything connected to it, as my terms define it. They apply as written.
Governing law
These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.
Dispute resolution
Informal Negotiations. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration.
Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration. If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website www.adr.org.
Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses.
The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party.
The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Williamson County, TX.
Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Williamson County, TX, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use. In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) year after the cause of action arose.
Restrictions. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually.
To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration. The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party;
(b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
